A corporate paralegal supports attorneys on entity formation, governance, financings and transactions, and keeps a company’s legal records in good standing. The role lets in-house or firm counsel focus on advice while filings, minute books and closing documents stay accurate and on time. Typical responsibilities include: form and maintain entities, including state filings and annual reports; prepare board and shareholder resolutions, minutes and consents; draft closing documents and manage signature pages for transactions.
Look for entity management, corporate governance, securities filings, due diligence, document drafting and cap table management. Experience with Carta, CT Corporation, Diligent Entities, DocuSign and Microsoft Word is common in this role.
Yes. Employers hire a corporate paralegal on contract for projects, peak periods and cover, and contract-to-hire is a good way to confirm fit before a permanent offer. For long-term needs, most choose full-time placement.
Probably not full time. With a small entity count, a part-time or contract paralegal can handle formations, annual filings and minute books. A permanent hire makes more sense once you run frequent financings, acquisitions or dozens of subsidiaries.
Corporate paralegals work on formation, governance and deals, with a focus on filings and closing checklists. Litigation paralegals work on disputes, with a focus on discovery, deadlines and trial preparation. Skills overlap, but candidates rarely move between the two without ramp-up time.
